We assist borrower clients with structuring and implementation of all forms of financing.  We regularly represent international banks and financial institutions on funding and finance structures with New Zealand borrowers and counterparties.

  • Advising Intermediate Capital Group on the provision of mezzanine debt finance to the Affinity Equity Partners led consortium acquisition of Tegel Foods
  • Advising a consortium of Infratil and the Guardians of New Zealand Superannuation Fund on the acquisition of Shell's New Zealand downstream assets
  • Advising Johnson Diversey on New Zealand aspects of its global refinancing
  • Acting for lenders providing unilateral banking and swap facilities available to electricity distribution group of companies upon that group’s corporate restructure
  • Acting for Kiwibank on its Kangaroo Bond issue
  • Acting for the lenders on various limited recourse property development financings and refinancings including Landco, Britomart, Jacks Point and others
  • Advising lending banks to the developer of Telecom House in Wellington
  • Advising Kiwibank on its acquisition of a NZ$720m residential loan portfolio from HSBC
  • Advising lenders to AMP NZ Office and AMP Capital Properties
  • Acting for lenders to various New Zealand corporates including Metlifecare Group, Top Energy, Freightways Group, Unison Networks, PGG Wrightsons, AFFCO, Coca-Cola Amatil (NZ), TVNZ and others
  • Acting for the lenders on the provision of funding to Open Country Dairy and its subsidiaries
  • Advising Unitas Capital and Ontario Teachers Pension Plan on acquisition funding for the acquisition of Yellow Pages Group
  • Advising lenders on acquisition financings for various leveraged acquisitions by private equity sponsors including CVC, PEP, Ironbridge and Catalyst
  • Advising Infratil, Sky Television, Abano Healthcare Group and other corporate borrowers on various corporate financing facilities
  • Acting for banks providing refinancing and acquisition finance facilities to Vector for the acquisition of NGC
  • Advising lenders on the acquisition of Borders New Zealand (in conjunction with Australian counsel)
  • Advising GE Finance in New Zealand on various acquisitions and finance transactions
  • Advising a number of New Zealand’s trading banks on regulatory issues and standard lending procedures and documents

  • Acting for the lender funding the acquisition and refinancing of several major North Island forests
  • Advising lenders and lessors in aircraft financing transactions for Air New Zealand and other airlines
