Gene’s practice covers mergers and acquisitions, joint ventures, and other corporate and commercial advice, banking and finance advice (for lenders and borrowers), leasing, corporate structuring, negotiation and preparation of commercial agreements, procurement, and outsourcing.  

Gene has worked in a variety of roles, in private practice and in-house, for leading corporates, financial institutions and other organisations, in New Zealand and overseas.  The breadth of his experience, combined with his MBA study in which he graduated first in class, means he is able to give practical legal advice across a range of areas, focusing not only on what needs to be done to sign a contract, but also on successful implementation.

  • Leading the team that advised a consortium of Infratil and Guardians of New Zealand Superannuation Fund on the $700m acquisition of Shell New Zealand
  • Advising Z Energy on a term supply agreement for refined oil products
  • Advising Z Energy on the disposal of its assets at Wynyard Wharf, Auckland, to Marstel Terminals
  • Advising a Russian investor on the purchase of a controlling stake in Waiwera Water New Zealand
  • Advising HRL Morrison & Co on the acquisition of a 26% stake in Fisher Funds Management (2008)
  • Advising other investors on the acquisition of a further 12% stake in Fisher Funds Management (2010)
  • Advising New Zealand Bus on the sale of Fullers Group
  • Advising Axa New Zealand on its acquisition of Gould Wealth Management
  • Advising Kiwibank on its acquisition of a $720m residential loan portfolio from HSBC
  • Advising New Zealand Post on the establishment of its Reachmedia joint venture
  • Advising a New Zealand state-owned enterprise on an international joint venture
  • Advising Rugby New Zealand 2011 on a variety of matters relating to the 2011 Rugby World Cup, including contracts relating to accommodation, and hosting of matches and teams
  • Advising New Zealand Post and Datam on significant long-term contracts with major customers
  • Advising John Deere on its dealer arrangements
  • Advising Kiwibank, Bank of New Zealand, ANZ National Bank and HSBC on a number of significant lending transactions
  • Advising Kiwibank in relation to the development of precedents and systems for business banking and institutional lending
  • Advising the Export Credit Office in relation to a number of export guarantees, including in relation to the complex financing arrangements for the construction of a major aquarium in Turkey and a luxury ship in Croatia
  • Advising Kiwibank, Rabobank, and another institution on the initial implementation of the Crown Retail Deposit Guarantee Scheme
  • Advising various financial institutions on reverse equity mortgages
  • Advising an Australian financial institution on the establishment of a New Zealand commercial mortgage securitisation structure.
