Overview

We understand the need for investments to work for all parties whether they are private equity investors, investee companies, management, senior or mezzanine debt funders.

Successful private equity investment is dependent on recognising an opportunity and effectively structuring a transaction to maximise that opportunity.

Our experts understand the competitive and time sensitive nature of being able to seize opportunities to maximise the benefits that can be derived from them.  We work with clients to achieve intelligent investments on intelligent terms.

Our team has worked on structuring, funding, implementation and exit of private equity investments acting on different transactions for a range of private equity investors, investee companies, management, debt financiers and insurers in exit situations.

We advise clients on private equity fund formation, planning for an investment, structuring investments including complex tax issues, securities issues, approval from the Overseas Investment Office, takeovers, senior and mezzanine debt funding, and preparation and negotiation of relevant agreements (including subscription agreements, shareholders' agreements and management contracts).
