Few transactions place greater demands on legal advisers than takeovers. Developing a strategy for a bidder or constructing a robust defence requires speed, depth of experience and sound judgement.
We understand the exacting demands of takeovers and have built a strong reputation in the area as a result. We have been involved in all aspects of takeovers and have a good relationship with and understanding of the workings of the Takeovers Panel.
Our lawyers advise on transaction structuring within and outside the Takeovers Code, negotiate and draft pre-bid commitment arrangements, prepare takeover offers and target company responses, advise independent directors of target companies on both friendly and hostile bids, secure exemptions from Takeovers Code, and appear on behalf of clients before Takeovers Panel.
