Buddle Findlay is delighted to have advised global infrastructure investor Brookfield on its agreement to acquire the gas transmission, distribution and storage businesses (operating under the First Gas, Rockgas and Flexgas brands) of one of New Zealand’s largest gas network owners, Clarus Group.
The Buddle Findlay team advised on all legal aspects of the transaction. Nick Bragg and Sarah McEwan led the team from Buddle Findlay, supported by a large team of regulatory, financing, tax and other specialists from across the firm including Daniel Collins, Tony Wilkinson, Susie Kilty, Allan Yeoman, Anna Parker, Harriett Scott and Zheng Tan.
The Buddle Findlay team worked closely and collaboratively with Brookfield's deal team and their other external advisers to deliver this complex transaction. The acquisition represents an important strategic investment for Brookfield who have provided the below statement:

The transaction remains subject to certain conditions and approvals with completion expected in the first half of 2026.
